Congratulations on being selected to participate in the FinHous Beta Program! This Beta Participant Agreement is a legal document being executed between you and FinHous (“FH”) that outlines your obligations by participating in the Beta Program. It is important for FinHous that you are comfortable with these terms. You should read the entire agreement before you sign up. If you do not understand or agree to any part of the agreement, you should not sign this document and instead ask questions before completing it. By e-signing this document and/or by signing up to the FH platform, you are agreeing to all the provisions. Included in these terms is your agreement to:

• Actively use and evaluate the product or service being tested;
• Provide the types of feedback requested and respond to questions;
• Give FinHous all rights to use any feedback you submit;
• Not disclose that you are participating in the Beta Program;
• Not show the materials to others;
• Not share copies, pictures, or videos of any materials you receive in any form (including social media);
• Return any materials or hardware if requested.

Beta Testing Agreement I am volunteering to participate in a mobile and desktop trial (“Beta Test”) for a new application services (the “Services”) to be provided by FinHous LLC, and its affiliates (collectively, “FH”).

CONFIDENTIALITY. I acknowledge and agree that the Services, including the existence and features of the Services, this Beta Test, my participation in this Beta Test, and all information related to this Beta Test, including any and all Feedback (as defined below) constitute the confidential and propriety information of FH (“Confidential Information”). I agree to protect and not disclose such Confidential Information to any person or entity other than FH agents specifically authorized by FH. I will not: (a) copy, print, store, forward or attempt to do any of these acts with respect to any images, pages or materials presented to me in any format or manner during the Beta Test; or (b) disclose any Confidential Information, including any Feedback, screen shots, video, user guides, FAQs, etc., in any manner, including to any blog or social media postings, web logs, message boards, listservs, product reviews or similar forums. I understand that failure to comply with my obligation to keep information relating to the Services or the Beta Test confidential may subject me to termination of my participation in the Beta Test and legal action. I represent, warrant and promise that neither I nor any member of my immediate family or any person residing in my household are currently employed by or in partnership with any competitor of FH. Competitors include applications that provide referral services to home providers and any companies that provide digital lead generation services.

MY RESPONSIBILITIES. I understand that the Beta Test will involve the following responsibilities on my part:

• Accepting this Agreement, using the Services for the duration of the Beta Test (the “Beta Test Period”), and providing Feedback (as defined below) to FH, all in accordance with FH’s directions. The Beta Test Period is currently scheduled for three (3) months, but I acknowledge and agree that FH may extend or cancel the Beta Test at any time in its sole discretion.
• During the Beta Test Period, allowing FH, at any time and without restriction or condition, to monitor, access and review my use of the Services, including collecting detailed records relating to my use of the Service.
• The Beta tester acknowledges and agrees that: (a) the Software is not an official product and has not been commercially released for sale by FH; (b) the Software may not operate properly, be in final form or fully functional; (c) the Software may contain errors, design flaws or other problems; (d) it may not be possible to make the Software fully functional; (e) the information obtained using the Software may not be accurate and may not accurately correspond to information extracted from any database or other source; (f) use of the Software may result in unexpected results, loss of data or communications, project delays or other unpredictable damage or loss; (g) FH is under no obligation to release a commercial version of the Software; and (h) FH has the right unilaterally to abandon development of the Software, at any time and without any obligation or liability to Beta tester . Beta tester acknowledges and agrees that it should not rely on the Software for any reason. Beta tester is solely responsible for maintaining and protecting all data and information that is retrieved, extracted, transformed, loaded, stored or otherwise processed by the Software. Beta tester will be responsible for all costs and expenses required to backup and restore any data and information that is lost or corrupted as a result of Beta tester ’s use of the Software

FEEDBACK. I agree that during and after the Beta Test Period, I will provide reasonable feedback on any aspect of the Beta Test as requested by FH including but not limited to weekly calls and surveys (“Feedback”). I also agree that FH may freely use, disclose, reproduce, license, distribute and otherwise commercialize the Feedback in any product, technology, service, specification or other documentation (collectively, “FH Offerings”) and I grant to FH an unrestricted, irrevocable, and royalty-free license to use the Feedback for any purpose whatsoever, including but not limited to incorporating the Feedback into any FH Offerings for use, assignment, license, or other transfer to third parties. I understand and agree that if I fail to provide any Feedback in a timely manner, as requested by FH, then FH may immediately terminate my participation in the Beta Test, without notice and without penalty. Any such termination shall not release me from any obligations or restrictions imposed upon me by this Agreement, the terms and conditions of which shall remain in full force and effect. Beta tester will provide reasonable feedback to FH concerning the features and functionality of the Software. If Beta tester provides feedback to FH, all such feedback will be the sole and exclusive property of FH. Beta tester hereby irrevocably transfers and assigns to FH and agrees to irrevocably assign and transfer to FH all of Beta tester 's right, title, and interest in and to all feedback including all intellectual property rights therein (collectively, “Intellectual Property Rights”). Beta tester will not earn or acquire any rights or licenses in the Software or in any FH Intellectual Property Rights on account of this Agreement or Beta tester 's performance under this Agreement, even if FH incorporates any feedback into the Software. FH will retain all ownership rights, title and interest to the intellectual property.

COST, ELIGIBILITY REQUIREMENTS, AND INCENTIVE. There is no charge to me for participating in the Beta Test. Provided that I meet the following eligibility requirements, both upon my initial application to participate in the Beta Test and at all times thereafter while the Beta Test continues, I will be eligible to receive a awards as described by FH for my participation.

FH reserves the right to impose additional terms and conditions during the Beta Test Period. If I fail to meet the above eligibility requirements, I understand that I will not receive the incentive.

Upon termination of my participation in the Beta Test, I will upon request from FH return any documentation provided to me for the Beta Test. I further understand that certain features and functionality may not be available after the Beta Test.

ENHANCEMENTS AND DISCLAIMER. I agree that, due to the nature of the Beta Test, FH is not obligated to provide maintenance, technical support or updates for the Services, and FH provides no assurance that any errors or discrepancies in the Services will be corrected. If FH decides in its sole discretion to provide any such corrections, updates or further software versions (“Enhancements”) and/or related information to me, then such Enhancements shall be deemed to be governed by this Agreement.

FH PROVIDES THE SERVICES “AS IS” AND WITH ALL FAULTS, AND DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, LACK OF VIRUSES OR OTHER HARMFUL CODE, AND NON-INFRINGEMENT. I UNDERSTAND THAT THE SERVICES HAVE NOT BEEN FULLY TESTED AND MAY CONTAIN DEFECTS THAT MAY INTERFERE WITH OTHER SERVICES PROVIDED BY FH. IN SUCH EVENT, THE ENTIRE RISK AS TO THE USE OF THE SERVICES IS SOLELY WITH ME, I HEREBY ACCEPT SUCH RISK, AND I UNDERSTAND I WILL NOT BE ENTITLED TO COMPENSATION FOR THE SERVICES THAT ARE SO AFFECTED.

FH TERMS AND CONDITIONS. In addition to the terms set forth in this Agreement, my receipt of the Services is governed by the terms and conditions of FH’s agreement (as amended or supplemented from time to time) located at www.FinHous.com, which terms and conditions are incorporated herein by reference. I acknowledge that I have received and agreed to the terms and conditions.

GENERAL CONSENTS. I further consent to the following: (a) FH will maintain the information provided by me in registering for the Beta Test and the Service during the duration of the Beta Test and for a reasonable period thereafter; and (b) FH may track my usage of the Service during the Beta Test. I understand that my privacy interests are addressed by, among other laws, the Federal Communications Act of 1934, as amended, and the Electronic Communications Privacy Act. Personally identifiable information that may be collected, used or disclosed in accordance with applicable laws is described in FH’s Subscriber Privacy Notice, which is available at www.FInHous.com. I acknowledge receipt of the Privacy Notice, which is incorporated in these terms and conditions by this reference, and I expressly consent to the collection, use and disclosure of personally identifiable and other information as described in the Subscriber Privacy Notice, as it may be amended from time to time. I also consent to FH contacting me via the email address I supplied in connection with my registration for the Beta Test, including any email address connected to a wireless or mobile device, for any purpose during the Beta Test.

By e-signing this document and/or by signing up to the FH platform, you are agreeing to all the provisions, I am agreeing to the terms of this Agreement, effective as of today’s date.
